Terms of Sale

These Terms of Sale govern a purchase from Mulligan Valley Compute. A sale is made by Mulligan Valley Partners.

Reservation and deposit

To reserve a unit, the buyer pays a deposit of [DEPOSIT AMOUNT OR PERCENT].

Whether the deposit is refundable before the serial numbers are disclosed: [REFUNDABLE BEFORE SERIAL DISCLOSURE: YES/NO].

Once the deposit clears, the serial numbers are disclosed and the unit is held for the buyer.

The unit is held for [HOLD PERIOD IN DAYS] days.

Payment

The balance is paid by wire transfer or through escrow with [ESCROW SERVICE NAME].

The balance is due before shipment. Title to the unit passes to the buyer when the funds clear.

Dead on arrival

A unit is covered by a dead on arrival, or DOA, window of [DOA WINDOW IN DAYS] days from delivery.

A unit is DOA if [DOA DEFINITION]. For example, a unit is DOA if it fails to enumerate, or if it fails the DCGM diagnostic named on its certificate.

The remedy for a DOA unit is [DOA REMEDY: REPLACE OR REFUND].

Return shipping for a DOA unit is paid by [WHO PAYS DOA RETURN SHIPPING].

As is beyond the DOA window

After the DOA window closes, the unit is sold as is. The certificate documents the condition of the unit at the time it was tested.

Shipping and pickup

Units are shipped insured. Risk of loss passes to the buyer on delivery.

Pickup is available in Milpitas, California by appointment.

Sales tax

California sales tax is collected on deliveries to California unless the buyer has a valid resale certificate on file.

Export compliance

The buyer confirms the end user and the destination country. The seller does not ship to destinations or parties restricted under US export law.

The seller may refuse or cancel an order when needed to comply with export law.

Limitation of liability

The seller is not liable for consequential, incidental, or lost-profit damages.

The total liability of the seller is capped at [LIABILITY CAP, FOR EXAMPLE THE PRICE PAID].

Governing law

These Terms of Sale are governed by the law of California. Venue is [VENUE COUNTY], California.

Changes

These Terms of Sale are dated November 4, 2026. The date changes when the terms are updated.
